Terms & Conditions
The following terms and conditions apply to the Contract (see definition below) and each future request for the supply of services and/or materials received by Pmac Solutions from the Client (see definition below) from time to time unless otherwise agreed in writing. The communication of a request by the Client to Pmac Solutions for the supply of services and/or materials shall amount to the Client's acceptance of these terms. These terms shall take precedence over any terms and conditions of the Client, whether attached to, enclosed with or referred to in any purchase order of the Client or elsewhere. They may not be varied except by written agreement between Pmac Solutions and the Client.
1. Definitions
In these terms and conditions the following words shall have the meanings given in this clause: 
“Pmac Solutions”
SA Promo trading as Pmac Solutions, 27 College Road, London, SW19 2BP, a company registered in England number 5987767. In this contract Pmac Solutions is also referred to as ‘we’ and ‘us’;
“Client”
The person, firm or company described as such on this order. In this contract the terms ‘you’ and ‘your’ refer to the Client;
“Contract”
The contract consisting of this order and these terms and conditions which is concluded by Pmac Solutions confirming to the Client by email to the Client’s email address entered on this order;
“Deliverables”
The services and/or materials to be supplied by the Pmac Solutions under this Contract, described in this order which are final and approved as such by the Client;
“Rights”
All copyright and related rights, design rights (whether registered or unregistered), patents, rights in trade marks (whether registered or unregistered), database rights and any other intellectual property rights (including all similar or equivalent rights or forms of protection in any part of the world) in or relating to the Deliverables.
“Charges” means the fee to be charged by Pmac Solutions for the Deliverables and specified on this order or by arrangement in writing;
“Client delay”
Any delay which is attributable to the action or inaction of the Client in the absolute discretion of Pmac Solutions.
“Collection”
Collection by the client from Pmac Solutions on terms to be agreed in writing.
“Delivery”
Delivery to the clients order on terms confirmed to the client in writing.
“Delivery turnaround”
Period agreed between Pmac Solutions and the Client, within which Deliverables must be delivered to the Clients address set out on this order.
“Expedited delivery”
Delivery to the client on an accelerated or other basis which results in an increase of Delivery costs or complexity of the delivery which will be determined in Pmac Solutions’ absolute discretion.
“Proofs”
Preliminary or draft versions of final layout and design of the Deliverables to be approved by the Client before finalisation and Delivery or Collection.
“Spoilage”
Defect in Deliverables or Proofs attributable to the inherent nature of the printing or design process.
“Turnaround”
Period agreed between Pmac Solutions and the Client, within which Pmac Solutions must produce the Deliverables.
“Together work”
Any combination of materials and printing techniques.
2. Placing your order and acceptance
When you place your order for one or more of our Services it is an offer by you to enter into a legal contract with us.
You and we will only enter into a binding contract when you receive notification from us that we have accepted your order and that a binding contract exists from the date and time specified in the notification.
2.1. Preliminary Work
All work carried out, whether experimentally or otherwise, at Client's request shall be chargeable.
2.2 Process Full Colour Printing
All reasonable efforts shall be made to obtain the best possible colour reproduction on Client's Deliverables but variation is inherent in the print process and it is understood and accepted as reasonable that, Pmac Solutions shall not be required to guarantee an exact match in colour or texture between the Client's photograph, transparency, proof, electronic graphic file, previously printed matter (whether printed by printing.com reseller or other party) or any other materials supplied by the Client and the printed article the subject of the Client's order.
2.3 Material
Any materials owned and used by Pmac Solutions in the production of plates, film-setting, negatives, positives and the like shall remain the exclusive property of Pmac Solutions. Such items when supplied by the Client shall remain the Client's property.
Lithographic, Together Deliverables or other materials supplied by the Client may be dealt with in any way in Pmac Solutions’ absolute discretion, including being put into storage, effaced or destroyed immediately after the order is executed unless written arrangements are made to the contrary. In the latter event, Pmac Solutions shall be entitled to levy additional charges.
2.3.1 Supply of materials
There is no duty on Pmac Solutions to assay the suitability of any paper, plates or other materials supplied or specified by the Client, although Pmac Solutions may reject any materials supplied or specified by the Client. Any additional costs incurred if materials supplied or specified by the Client are found to be unsuitable during production may be levied by Pmac Solutions against the Client. Pmac Solutions shall have no liability in respect of any impairment to Deliverables provided by Pmac Solutions which is attributable to defects in, or the unsuitability of materials supplied or specified by the Client.
Pmac Solutions shall assume that quantities of materials supplied by the Client shall be adequate to cover normal Spoilage Accordingly if the quantities of materials supplied by the Client are not sufficient to cover normal spoilage ("an Insufficient Supply") then Pmac Solutions shall have no liability for any shortfall in quantity to the extent that such shortfall arises as a result of such Insufficient Supply.
2.4. Quantity Variations
Every reasonable endeavour will be made to deliver the correct quantity ordered. However some variation is inherent in the print process and it is understood and accepted as reasonable that variations which are in the opinion of Pmac Solutions minor, are immaterial and that Pmac Solutions shall have no liability for such minor variations.
2.5 Rejection or cancellation
Unless a rejection fee has been agreed in advance, the Client shall have no right to terminate the Contract, allege breach of Contract or seek any cancellation, reduction or repayment of the Job Cost on the basis of style or composition.
Once the Contract is concluded as provided on these terms and conditions, any subsequent cancellation by the Client will result in the Client being liable for the full Job Cost as if the cancellation had not taken place, excluding such committed third party expenses as Pmac Solutions is able to avoid liability for within its existing contractual commitments to suppliers.
2.6 Sub-contracting and assignment
Pmac Solutions may sub-contract any or all of its rights or obligations under this Contract and may with the Client's consent, such consent not to be unreasonably withheld or delayed, assign the benefit and burden of its rights and obligations under this Contract to any other entity.
3. Payment
Your order for printing or design services can only be made through the appropriate page on our website. We do not accept orders made by any other means.
All printing and design services we provide must be paid for in advance, and can only be made with the use of a credit or debit card.
Where we have accepted an order from you and have received payment, if the payment is subsequently refused or rejected then we reserve the right to refuse to perform any further or unfulfilled part of the printing and design services you have ordered.
All prices stated are exclusive of VAT which will be charged in addition at the rate in force at the time you place your order.
For invoices not settled within  agreed credit terms, where applicable, or for payments returned unpaid (such as cheques, credit cards or similar), Pmac Solutions reserves the right to charge interest on the overdue debt at 2% above the Abbey  base rate base rate from time to time accruing daily and compounded annually on every invoice overdue for payment calculated from the date of the invoice until the date of payment whether before or after judgment, and may suspend all of its obligations hereunder until payment has been made in full. Pmac Solutions reserves the right to claim interest under the Late Payment of Commercial Debts (Interest) Act 1998 and an administration fee to cover its debt recovery costs and any other costs relating to the collection of payment.
Pmac Solutions reserves the right to require the Client to pay the total Job Cost up front before Pmac Solutions commences any Deliverables. If a final Job Cost has not been agreed at the time of concluding the Contract, Pmac Solutions will require the Client to pay a percentage of the estimated total Job Cost in advance to cover Pmac Solutions' time attending meetings and/or producing Deliverables in advance of a final sign-off by the Client of the budget.
3.1 Price Variation
This quotation is an estimate of the final cost of work undertaken by Pmac Solutions (“Price estimate”).Price estimates are based on the current costs of production and, unless otherwise agreed, are subject to amendment on or at any time after acceptance, where such amendment is required in order to meet any rise or fall in such costs.
3.2 VAT
Pmac Solutions reserves the right to charge the amount of any VAT payable whether or not included on the estimate or invoice.
4. Intellectual property
If any Deliverables use any trade marks, trading styles or trade names ('Marks') owned by the Client or under its control, it is agreed that Pmac Solutions shall have the right to use or allow use of any such Marks for the purpose of fulfilling Pmac Solutions' obligations under the Contract. Pmac Solutions shall not gain any rights over such Marks by virtue of such use, but Pmac Solutions shall be entitled to use the Marks both during and after the production and supply of the Deliverables to promote and advertise its own work. 
It shall be the Client's responsibility to ensure that all domain names used in connection with the Deliverables are wherever practicable properly registered and do not infringe any third party rights and that any Marks of the Client or any third party used in the Deliverables, including such Marks as are supplied by Pmac Solutions as part of the Brief, are used in a manner which neither undermines the Client's rights in its Marks nor infringes any third party rights.
4.1 Information on our website
Data and material ('Web Information') which is to be found on our website to which you have access is subject to the following limitations:
a.) the Web Information is provided only for you to obtain a general understanding of the topics and issues to which it relates;
b.) the Web Information is not to be relied upon by or utilised by you to help you or advise or assist you with any problem or issue you are having. Moreover the Web Information must not form the basis on which you decide to take no action or not to do something;
c.) the Web Information may not be up-to-date or provide all the relevant material or data concerning the topic or issues it addresses;
d.) the Web Information may not be copied by you or provided to any other person by you, except that you may print to a printer or download one copy of the Web Information to store on your own [personal] computer for subsequent reading by you. However, you may show the Web Information you have copied, downloaded or printed to a person or organisation who is providing you with advice and assistance;
e.) you will only search or otherwise access or view the Web Information through a standard internet browser (such as FireFox, Internet Explorer, Safari or Opera). In particular, you will not use any software or device to copy, transfer or download complete or partial parts of the Web Information or our website (text, code, software, graphics etc) to enable you or another person to run our website.
4.2 Pmac Solutions Imprint
The Client shall unless otherwise agreed mark all design work supplied as part of the Deliverables with the phrase 'Design by Pmac Solutions (or appropriate variants as agreed) in a suitable place. Pmac Solutions reserves the right to request the non-appearance or removal of this credit in any particular case. The Client shall comply with any such request within 30 days, but shall not thereby be obliged to make changes to material already produced or published.
4.3 Copy
Where any additional work of whatever nature is necessary as a result of copy supplied by a Client not being clear and/or legible, we shall be entitled to make additional charges on a time and materials basis to cover such additional work.
4.4 Copyright
Unless negotiated and agreed in writing, all intellectual property rights to general artwork, commissioned artwork ,illustrations and anything else (regardless of its nature)prepared, developed or created by Pmac Solutions shall vest in and belong to Pmac Solutions. Pmac Solutions may use any artwork or printing produced by itself for the purposes of promotion. The Client shall be responsible for obtaining all necessary authorities and consents to reproduce pictures, artwork, photographs, copyright text and/or any other reproducible materials prior to instructing Pmac Solutions to reproduce the same.
The Client shall indemnify and hold Pmac Solutions and its agents and representatives harmless against all claims, demands, actions, costs, expenses (including but not limited to legal costs and disbursements), losses and damages arising from or suffered or incurred by reason of any claim (including but not limited to the defence of such claim) that the reproduction of the Materials by Pmac Solutions infringes the intellectual property or other rights of any third party or misuses the confidential information of a third party.
All design, text, illustrations, graphics, photographs, diagrams, drawings, logos and the selection and arrangement thereof, and all source code and all other material content of any website owned, controlled or operated by Pmac Solutions  and Pmac Solutions Marketing Collateral are the intellectual property of Pmac Solutions or its content providers and as between Pmac Solutions  and the Client all intellectual property rights (including all copyright) arising out of or connected with such content shall belong to Pmac Solutions. No reproduction of any part is allowed without written permission.
4.5 Proofs
Proofs of all work may be submitted for Client's approval. Pmac is not responsible for any errors not corrected by the Client in proofs so submitted.
Additional charges shall be made for any additional Proofs that are required as a result of alterations required by the Client. When style, type or layout of the Proofs is left to the Pmac Solutions’ designer’s discretion, any subsequent changes to the Proof’s required by the Client shall be subject to additional charges.
4.6 Client's Property
The Client's property and all property supplied to Pmac Solutions by or on behalf of the Client shall while it is in the possession of Pmac Solutions or in transit to or from the Client, be deemed to be at Client's risk unless otherwise agreed and the Client should insure such property accordingly.
Where a Client fails to collect Deliverables within 20 business days from notification to the Client of completion of the Deliverables, Pmac Solutions shall be entitled, at its discretion, to either store the Deliverables until actual delivery or collection is made and charge the Client for any costs (including insurance) related to storage or to destroy such Deliverables (provided that the Client shall nevertheless remain liable for i.)payment in respect of the relevant order, and ii.) costs for destruction of the Deliverables).
4.7 Pmac Solutions’ property 
Where Deliverables are supplied to the Client on computer disks or other electronic storage method, then Pmac Solutions remains the owner of these storage media and reserves the right to require immediate return of them. Should any artwork be supplied to the Client in digital form, the Client may not amend it or otherwise use it for purposes outside those contemplated by this Contract without Pmac Solutions' express prior written permission.
5. Delivery
Delivery of work by Pmac Solutions shall be deemed to take place upon collection of the work by the Client (where the Client is obliged to collect the work) or (where Pmac Solutions is obliged to deliver the work) actual delivery of the work to the Client by Pmac Solutions.
5.1 Delivery Turnaround
Delivery turnaround is measured in business days. Where the late delivery is as the result of the action or inaction of a third party, such as a courier, Pmac Solutions, at its absolute discretion, may elect to extend the Turnaround.
In addition
Both Turnaround and Delivery Turnaround rely on the Client not delaying the progress of the order in any way (which delays include but are not limited to the Client not returning proofs by the time specified by Pmac Solutions or failing to make payment by the time such payment is due) (a "Client Delay"). In the event of a Client Delay the Client shall still be obliged to pay the Charges and Pmac Solutions will not be bound to deliver within the Delivery Turnaround Period nor complete the Work within the Turnaround period.
Where the Client is obliged to collect the work, Client's failure to collect the work on the day on which Pmac Solutions is contractually obliged to have it ready for collection shall be classed as a Client Delay. Where Pmac Solutions is obliged to deliver the work to the Client but the Client provides Pmac Solutions with incomplete or incorrect delivery information or is not available to accept delivery, then provided that Pmac Solutions has used reasonable endeavours to deliver the work on the day allotted for delivery to the Client, such delivery shall be classed as a Client Delay. Unless otherwise specified the price quoted for the Deliverables excludes delivery. Where the Client has requested Delivery, additional charges will be levied. Where Clients subsequently request Delivery to a different address to that on the original Delivery instruction, further charges will be levied in addition to the original Delivery charges.
Should Expedited delivery on terms agreed between the Client and Pmac Solutions, Pmac Solutions shall be entitled to levy additional charges, including without limitation, the cost of couriers or special delivery post.
Should work on any order be i.)suspended at the request of a Client or ii.) delayed as a result of any action or inaction by the Client for a period of 30 calendar days or more, Pmac Solutions shall then be entitled to immediate payment for work already carried out, materials ordered and any other costs incurred regardless of their nature.
Risk of loss of or damage to Deliverables shall pass to the Client on dispatch for Delivery. Notwithstanding delivery and the passing of risk in the Deliverables to the Client, ownership of and title to the Deliverables shall not pass to the Client and shall be retained by Pmac Solutions until Pmac Solutions has received payment in full in respect of the Deliverables.
6. Liability
Pmac Solutions gives no warranties or guarantees or makes any representations as to the merchantability or fitness for any particular purpose of any Deliverables the subject of a Client's order. All other warranties, conditions, guarantees or representations, whether express or implied, oral or in writing, except as expressly stated in these terms and conditions are hereby excluded. Pmac Solutions shall not be liable for any loss arising from delay in transit not caused by Pmac Solutions. Further, Pmac Solutions shall not be liable for any indirect, special or consequential damages, loss of profits, economic loss, loss of goodwill or loss of anticipated savings or loss of data. The total aggregate liability of Pmac Solutions in respect of any and all causes of action arising out of or in connection with the Client's order and Pmac Solutions performance of services pursuant to such order (whether for breach of contract, strict liability, tort (including, without limitation, negligence), misrepresentation or otherwise) shall be limited to the sums paid to Pmac Solutions by the Client in respect of the order pursuant to which liability has arisen. Nothing in these terms and conditions shall be construed so as to limit or exclude liability which cannot, pursuant to English Law, be excluded or limited including for death or personal injury or liability in respect of fraud or fraudulent misrepresentation.
7. Bankruptcy
If the Client ceases to pay its debts in the ordinary course of business or cannot pay its debts as they become due or (where the Client is a company) is deemed to be unable to pay its debts or has a winding-up petition issued against it or (where the Client is a person) commits an act of bankruptcy or has a bankruptcy petition issued against it, Pmac Solutions without prejudice to other remedies shall (i) have the right not to proceed further with the contract or any other Deliverables for the Client and be entitled to charge for work already carried out (whether completed or not) and materials purchased for the Client. Such charge shall be an immediate debt due to Pmac Solutions, and (ii) in respect of all unpaid debts due from the Client have a general lien on all of the Client’s goods and property in Pmac Solutions possession (whether worked on or not) and shall be entitled on the expiration of 14 days' notice to dispose of such goods or property in such manner and at such price as the Pmac Solutions thinks fit and to apply the proceeds towards such debts.
8. Compliance
It shall be the sole responsibility of the Client to ensure that the Deliverables comply with all local laws (whether consumer, public or civil), regulations and codes in all countries in which use is intended as stated in the Contract. It shall also be the Client's responsibility to ensure that the Deliverables carry all disclaimers, warnings and public information which any competent lawyer of the Client in any of the relevant jurisdictions would advise.
In addition, Pmac Solutions shall not be required to print any matter which in its opinion is or may be of an illegal or libellous nature or an infringement of the proprietary or other rights or any third party.
Accordingly the Client agrees to indemnify and hold harmless Pmac Solutions and the Pmac solutions’ agents and employees from any liability, cost, loss, damages award, sum payable by way of settlement or other expense of any kind (including but not limited to legal costs and disbursements) arising from or suffered or incurred by reason of the production of the Deliverables it is required to produce pursuant to a Client order being or alleged to be defamatory or. Neither shall Pmac Solutions be liable for any claim, demand or action alleging that the Deliverables or use of them is contrary to any law, code or regulation in any country.
9. Confidential information
Neither party shall divulge any confidential information which is supplied to it about the other party in the course of this Contract or any pre-Contract discussions, other than information forming part of the public domain otherwise than through a breach of this clause or any other obligation of confidence.
10. Contacting each other
If you wish to send us any notice or letter then it needs to be sent to our registered office address. If we wish to send you a letter or notice we will use the address you have given in this order.
11. Force Majeure
Pmac Solutions shall be under no liability if it shall be unable to perform any obligation which is owed by it to the Client for any reason beyond its control including (without limiting the foregoing)as a result of  legislation, war, fire, flood, drought, failure of power supply, unavoidable hardware or software failures, lock-out, strike or other action taken by employees in contemplation or furtherance of a dispute or owing to any inability to procure materials required for the performance of the contract. During the continuance of such a contingency the Client may by written notice to Pmac Solutions elect to terminate the contract and pay for work done and materials used, but subject thereto shall otherwise accept delivery when available.
12. Variation
These terms and conditions may be amended from time to time. The latest version of these terms and conditions may be accessed via the website. This agreement constitutes the whole agreement between the parties hereto and no negotiations or other evidence may be used to interpret the intentions of the parties hereto apart from this agreement.
13. Entire agreement
This Contract is the entire agreement between the parties on the subject matter contained herein and supersedes all representations, communications and prior agreements between the parties in that regard.
Each party acknowledges that it has entered into this Contract in reliance only on the representations, warranties, promises and terms contained or expressly referred to in this Contract and, save as expressly set out in these terms and conditions, neither party shall have any liability in respect of any other representation, warranty or promise unless it was made fraudulently.
14. Third party rights
Unless expressly provided in this Contract, no term of this Contract is enforceable pursuant to the Contracts (Rights of Third Parties) Act 1999 by any person who is not a party to it.
15. Governing law and jurisdiction
This Contract and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with English law and each of the parties irrevocably submits to the non-exclusive jurisdiction of the courts of England and Wales.
